How do I know if I need a Business Certificate?
If you plan on conducting Business in the
County of the Bronx under any name other than your own, or if you
plan on conducting Business as a Partnership then you are required
by law to file a Business Certificate in the Bronx County Clerks
Office. The Notary Department handles the filing of Business Certificates
as well as filing Amended Business Certificates and Business Discontinuances.
Below are the answers to some common questions regarding the filing
of Business Certificates.

What form do I need to file?
- Form X-201
is filed for Sole Proprietorships
(one owner)
- Form X-74
is filed for Partnerships
(more than one owner)
- Form T-224
is filed to Amend a Business Certificate
(change the business address or home address of the owner).
- Form T-341
is filed to close a Sole Proprietorship
- Form T-176
is filed to close a Partnership

Where can I get the forms?
The Bronx
County Clerks Office does not furnish the necessary forms
for any of the Business related services. These forms may
be obtained at stationary stores that sell legal forms. We
recommend that you purchase three forms when filing a Business Certificate,
one form will be filed in our office as the original, you will need
one form to present to the bank if you plan on opening a business
account and you should retain one form for your records.

Our office will not accept any certificates if corrections have
been made or if white out has been used. All forms must be typed
or printed in blue or black ink

After I purchase the form what do I do?
Before choosing your Business Name and filling
out the forms please perform a Name Search at our office to assure
that your chosen name is not already in use. Once the forms have
been completely and accurately filled out they
should be notarized. If the business is a partnership all
of the partners signatures have to be notarized. Our office
offers a notary service for your convenience providing you have
proper identification. Once notarized, a
name search must be conducted in our office (Miscellaneous Records
Dept.) and the form is to
be filed with the Notary Department.

What are the fees?
- The fee for filing a Business
Certificate is $100 - Plus $10
for each additional certified copy you may require. (Payment
must be in cash, money order or certified check)
- The fee for Filing an Amended
Business Certificate is $100 - Plus $10
for each additional certified copy you may require. (Payment
must be in cash, money order or certified check)
- There is no
fee for filing a Discontinuance of Business, however there
is a $10 fee for each certified
copy you may require. (Payment
must be in cash, money order or certified check).
